Senior Corporate Counsel
We are partnering with a fast-paced and growing company within the language service industry looking to hire a Senior Corporate Counsel. This will be the first attorney role in-house with the company that has grown to the point of moving its legal functions in-house. An ideal candidate is driven and entrepreneurial, with strong business aptitude and a positive nature.
An ideal candidate has at least 5 years of experience with various commercial transactions, corporate governance, and some M&A. This is a hybrid role based out of the company’s Minneapolis office. It is a Director level role and reports directly to the CEO and VP of Finance.

Responsibilities
- General legal support, including legal strategy and risk mitigation
- Review, negotiate, draft, and close various commercial and M&A transactions
- Manage outside counsel and litigation matters as needed, including attending mediations and settlement negotiations
- Work with internal and external parties to provide legal and legislative perspective on all aspects of company
- Serve as Company Secretary, maintain company’s corporate records, subsidiaries, corporate filings, and governance policies
- Act as SME to company executives and management, including legal research, analysis, information management, and legal guidance
Desired Skills and Experience
- At least 5 years of experience in an in-house or law firm setting
- JD from accredited law school and license to practice in Minnesota
- Experience with a variety of commercial agreements and transactions
- Understanding of corporate governance procedures, processes, and filings
- Preference for candidates with professional services industry and/or government contracting experience
